Acceptance of terms
These Terms of Service ("Terms") govern access to and use of the Datyra platform and related services provided by Datyra Technologies Pvt Ltd. By creating an account, accessing, or using the service, you agree to these Terms.
If you do not agree, do not use Datyra. If you use the service on behalf of an organization, you represent that you have authority to bind that organization.
Description of services
Datyra provides a Multi-channel customer engagement and communication orchestration SaaS platform that helps organizations manage customer engagement across Email, SMS, WhatsApp, AI automation, analytics, segmentation, templates, campaigns, notifications, and provider integrations. Features may include messaging orchestration, templates, campaigns, segmentation, analytics, AI-assisted workflows, notifications, and third-party provider integrations.
We may update, modify, or discontinue features with reasonable notice where practicable.
Accounts and workspaces
You must provide accurate registration information and keep account credentials secure. You are responsible for all activity under your account and workspace, including actions by authorized team members.
You must promptly notify us of unauthorized access at support@datyra.io.
Customer data responsibility
You are solely responsible for contact lists, audience data, and other information you upload or sync into Datyra. You represent that you have all necessary rights and lawful bases to collect, use, and process such data through the platform.
Acceptable use
You agree not to use Datyra to:
- Send spam, unsolicited bulk messages, or deceptive communications
- Engage in fraud, phishing, impersonation, or illegal activity
- Distribute malware or harmful content
- Violate applicable laws or third-party rights
- Violate WhatsApp, Meta, email service provider, SMS aggregator, or other provider policies and acceptable use rules
- Run misleading campaigns or misrepresent sender identity
- Attempt to bypass rate limits, security controls, or abuse monitoring
We may investigate suspected violations and cooperate with providers or authorities as required by law.
Consent and opt-in
You are responsible for obtaining and documenting valid consent or lawful opt-in from Email, SMS, and WhatsApp recipients before sending messages through Datyra, including compliance with applicable telecom, marketing, and messaging regulations.
Templates and campaigns
You are responsible for the content of templates, campaigns, and messages sent through your workspace, including accuracy, branding, and compliance with provider approval requirements (such as WhatsApp template review).
Provider integrations
Third-party integrations (including Email, SMS, WhatsApp, and payment providers) are subject to their own terms. You are responsible for maintaining valid credentials, approved sender identities, and compliance with provider requirements.
Datyra is not responsible for outages, delivery failures, or policy enforcement actions taken by third-party providers.
Billing and subscriptions
Paid plans, subscriptions, wallet balances, invoices, and applicable taxes are billed according to your order form or in-product pricing. Fees are generally non-refundable except where required by law or expressly stated in writing.
Failure to pay may result in suspension or downgrade of service. You are responsible for maintaining valid billing information.
Suspension and termination
We may suspend or terminate access immediately for abuse, security risk, non-payment, or material breach of these Terms. You may stop using the service at any time; certain provisions survive termination.
Service availability
We strive for reliable service but do not guarantee uninterrupted or error-free operation. Scheduled maintenance and factors outside our control may affect availability.
Limitation of liability
To the maximum extent permitted by applicable law, Datyra Technologies Pvt Ltd and its affiliates shall not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or goodwill arising from use of the service.
Our aggregate liability for claims relating to the service shall not exceed the fees paid by you to Datyra in the twelve (12) months preceding the claim, except where liability cannot be limited under applicable law.
Intellectual property
Datyra, its software, branding, and documentation are owned by Datyra Technologies Pvt Ltd or its licensors. You receive a limited, non-exclusive, non-transferable license to use the service during your subscription. You retain ownership of your content and customer data.
Confidentiality
Each party may receive confidential information from the other. The receiving party will use reasonable care to protect such information and use it only for purposes related to the service, except as required by law.
Governing law
These Terms are governed by the laws of India, without regard to conflict-of-law principles. Courts in India shall have exclusive jurisdiction over disputes arising from these Terms, subject to mandatory consumer protections where applicable.
